Remove vent and clad with cedar

We have a disused bathroom vent that we wish to seal up, insulate, waterproof and clad with cedar. We have the cedar boards already. May need copper soakers. We also have some ply cladding that is splitting on our garage, would be great to know if it's a problem and if it can be replaced.
